Terms and conditions governing your use of MaxFiles

Company: WELOIN Global Private Limited

These Terms govern your access and use of MaxFiles. By using the Platform, you agree to these Terms.

Services Provided

  • Cloud Deployment (SaaS): Access to MaxFiles hosted by us.
  • On-Premise Deployment: Licensed installation on customer infrastructure.

License Terms

On-Premise License:

  • Granted as a perpetual, non-transferable license.
  • One license = one installation, usable by unlimited users within the same organization.
  • Number of users must be declared in advance for proper setup.
  • Updates and upgrades are provided under a separate license cost.
  • Support, services, and maintenance are available under additional agreements.

Cloud Deployment:

Subscription-based access, governed by your service agreement.

Restrictions

You agree not to:

  • Resell, sublicense, or transfer your license.
  • Reverse-engineer, decompile, or modify the Platform.
  • Use the Platform for illegal, harmful, or unauthorized purposes.

Payments

  • Cloud subscriptions (if applicable) are billed as per individual agreements.
  • On-premise licenses, updates, customizations, and support are billed as per signed contracts with each organization.
  • No general refund policy applies; payments are governed by customer-specific agreements.

Intellectual Property

All rights, title, and interest in MaxFiles remain with WELOIN Global Pvt. Ltd. You receive only the rights explicitly granted under your license or agreement.

Termination

We may suspend or terminate your access if you:

  • Violate these Terms.
  • Misuse or attempt to bypass licensing restrictions.
  • Engage in illegal or unauthorized activities using the Platform.

Upon termination, your rights to use the Platform cease immediately.

Disclaimer & Liability

  • The Platform is provided "as is" without warranties of any kind.
  • We are not liable for damages including but not limited to data loss, downtime, or indirect losses.
  • We do not guarantee uninterrupted or error-free service.

Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the jurisdiction of courts located in Kolkata, West Bengal, India.

Changes

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
